Terms of Service
Last updated: DD Month 2026
This is a plain-language draft written from how the product works. It has not been reviewed by a lawyer. Confirm it against your reviewed docs/policies.md, add your legal entity and governing-law details, and remove this notice before publishing.
1. Who these terms are with
These terms are between you and [Legal entity name, city, India] ("we", "us"), covering your use of the product "Ledgerly Go". By buying or using it, you agree to them.
2. What the licence covers
- One licence covers one computer (the one TallyPrime runs on) and an unlimited number of phones reading from it.
- The licence is for your own business use. You may not resell, sublicense or share the licence key with other businesses.
- Moving the licence to a replacement computer is allowed at no extra charge, by arrangement with support.
- [State the licence term: annual subscription, one-time, etc. and what "updates during the period" means.]
3. What the product does
Ledgerly Go provides read-only mobile access to a snapshot of your TallyPrime books. It reads from Tally and never writes to it. The figures on your phone are a snapshot from the last sync, not a live view, and every screen shows how old they are. We do not provide GST filing, e-invoicing, e-way bills, payment collection or data entry.
4. Your responsibilities
- Keep your passphrase safe. It is the only key to your encrypted books, and we cannot recover it. If you lose it, you set a new one on your computer; nothing is lost from Tally.
- Keep your licence key private.
- Make sure you are entitled to give any staff member the limited view you grant them.
- Maintain your own backups of your TallyPrime data. Ledgerly Go is not a backup of your books.
5. Accuracy of figures
The product presents figures extracted from your own TallyPrime data. It checks internal consistency before publishing, but it is a tool for viewing your books, not a substitute for your accountant's judgement or an audit. Decisions you take based on the figures are your own. [Adjust to your risk position.]
6. Licence checks and suspension
The product checks periodically that your licence is valid. If the check cannot reach our server, the product keeps working for a grace period. We may suspend or revoke a licence for non-payment, refund, or breach of these terms.
7. Limitation of liability
[Insert your limitation-of-liability and warranty-disclaimer clause, reviewed by a lawyer. This section materially affects your legal exposure and must not be shipped as a placeholder.]
8. Governing law
These terms are governed by the laws of India, with courts at [your city] having jurisdiction. [Confirm.]
9. Changes
We may update these terms; the date at the top shows when. Continued use after a change means you accept the updated terms.
